3. The Services
3.1 Savra is an AI-powered business software platform that may:
(a) connect to Customer-authorised accounting, customer relationship management, productivity, communication, advertising and analytics systems;
(b) answer natural-language questions;
(c) produce financial and operational insights;
(d) perform scenario analysis; and
(e) generate reports and other AI Output.
3.2 The Services may connect with Third-Party Services such as Xero, QuickBooks, HubSpot, Salesforce, Google Workspace, Microsoft 365, Slack, Outlook, Dropbox, Google Ads, Google Analytics and LinkedIn. The integrations actually available to you are those listed in the Platform at the time; not every service named here is available at all times.
3.3 Third-Party Services may be connected through third-party integration providers, including Composio.
3.4 AI processing may be performed by third-party model providers, including Anthropic.
3.5 The availability, functionality and providers of integrations and AI processing may change as the Services develop. We will update relevant disclosures where a material change affects the handling of Customer Data.
3.6 We may add, remove or modify features where reasonably required to:
(a) improve or develop the Services;
(b) address security, legal or technical issues;
(c) respond to changes made by a Third-Party Service; or
(d) maintain the performance or commercial viability of the Services.
3.7 We will not materially reduce the core functionality of a paid Subscription during its current Subscription Period without reasonable notice, except where required by law, security requirements or circumstances outside our reasonable control.
4. Accounts and Authorised Users
4.1 You must provide complete, accurate and current registration and billing information.
4.2 You are responsible for:
(a) maintaining the confidentiality and security of Account credentials;
(b) using reasonable security measures, including multi-factor authentication where available;
(c) all activity undertaken through your Account, except to the extent caused by our breach of these Terms or failure to use reasonable security measures;
(d) ensuring that Authorised Users comply with these Terms; and
(e) promptly notifying us of suspected unauthorised access or security incidents affecting your Account.
4.3 You must not:
(a) share login credentials with unauthorised persons;
(b) permit the number of Authorised Users to exceed the limits of your Subscription;
(c) impersonate another person or misrepresent your authority; or
(d) create an Account using false or misleading information.
4.4 You are responsible for obtaining all internal approvals needed to connect Third-Party Services and permit Savra to process Customer Data.
5. Customer Data and Authorisations
5.1 As between you and Savra, you retain ownership of all rights in Customer Data.
5.2 You grant Savra a non-exclusive, worldwide, royalty-free licence during the Subscription Period to host, copy, transmit, access, use, modify and process Customer Data only to the extent reasonably necessary to:
(a) provide, secure, maintain and support the Services;
(b) respond to your authorised requests and generate AI Output;
(c) prevent fraud, misuse and security incidents;
(d) comply with law; and
(e) perform other activities expressly authorised by you.
5.3 You represent and warrant that:
(a) you have all rights, permissions, notices and consents required to provide or make Customer Data available to us;
(b) our permitted processing of Customer Data will not infringe another person's rights or breach applicable law;
(c) you are authorised to connect each Third-Party Service connected to your Account; and
(d) you will not use the Services to process Customer Data where doing so is unlawful.
5.4 You authorise Savra and its service providers to access Customer Data from connected Third-Party Services using the permissions approved by you.
5.5 You may revoke an integration's access through your Account settings or the relevant Third-Party Service. Revocation may prevent affected features from operating.
5.6 We will handle personal information in accordance with our Privacy Policy and applicable privacy law.
5.7 Except with your express consent or where clearly disclosed in the Privacy Policy, Savra will not use Customer Data to train a general-purpose artificial intelligence model for use by customers other than you.
5.8 We may create and use aggregated or de-identified data derived from the use of the Services, provided that the data does not reasonably identify you, an Authorised User or another individual. We may use that data to operate, secure, analyse and improve the Services.
6. Security and Data Incidents
6.1 We will take reasonable technical and organisational measures designed to protect Customer Data against unauthorised access, use, alteration, loss or disclosure.
6.2 No internet-based service is completely secure. You acknowledge that security risks cannot be eliminated entirely.
6.3 If we become aware of a security incident affecting Customer Data, we will:
(a) investigate and take reasonable steps to contain and remediate the incident;
(b) notify you without undue delay where required by law or where the incident is reasonably likely to materially affect you; and
(c) provide reasonable information available to us concerning the incident, subject to legal, security and confidentiality restrictions.
6.4 Each party is responsible for complying with its own legal obligations concerning affected personal information, including any assessment or notification obligations.
6.5 You must notify us promptly if you become aware of a vulnerability, unauthorised Account access or security incident affecting the Services.
7. AI Output and Customer Responsibility
7.1 The Services use artificial intelligence and automated technology. AI Output may be incomplete, inaccurate, outdated or unsuitable for your circumstances.
7.2 AI Output is provided for general business information and assistance. It is not legal, accounting, tax, financial, investment, credit or other professional advice.
7.3 Savra is not an accountant, tax agent, financial adviser, legal practitioner or credit provider merely because the Services produce AI Output relating to those subjects.
7.4 You remain responsible for:
(a) reviewing and verifying AI Output before relying on it;
(b) obtaining qualified professional advice where appropriate;
(c) decisions, transactions, filings, communications and actions taken using AI Output;
(d) confirming the accuracy and completeness of Customer Data; and
(e) maintaining appropriate human oversight.
7.5 You must not use AI Output as the sole basis for:
(a) a decision that has a legal or similarly significant effect on an individual;
(b) employment, credit, insurance, healthcare or eligibility decisions;
(c) statutory reporting or regulatory filings; or
(d) investment or taxation decisions,
unless a suitably qualified person independently reviews the relevant information and decision.
7.6 You must not represent AI Output as independently verified or guaranteed by Savra.
7.7 Nothing in this clause excludes any statutory right or guarantee that cannot lawfully be excluded.
8. Acceptable Use
8.1 You must use the Website and Services lawfully and in accordance with these Terms.
8.2 You must not:
(a) access or use the Services for unlawful, fraudulent, deceptive, harmful or abusive purposes;
(b) breach privacy, data protection, intellectual property, consumer protection, sanctions or export control laws;
(c) upload or process material that infringes another person's rights;
(d) stalk, harass, threaten, defame or impersonate another person;
(e) distribute malware or other harmful code;
(f) probe, scan or test a vulnerability without our prior written permission;
(g) bypass or defeat access controls, usage limits or security measures;
(h) interfere with the security, integrity, availability or performance of the Services;
(i) impose an unreasonable or disproportionately large load on our infrastructure;
(j) reverse engineer, decompile, disassemble or attempt to derive the source code or underlying components of the Services, except to the extent this restriction is prohibited by law;
(k) access the Services by scraping, automated extraction, bots or unsupported interfaces without our prior written permission;
(l) copy, resell, sublicence or commercially exploit the Services except as expressly authorised by us;
(m) use the Services or AI Output to develop or train a competing artificial intelligence model or service;
(n) use the Services to generate or distribute spam, phishing, spoofing or misleading communications; or
(o) attempt, encourage or assist another person to do anything prohibited by this clause.
8.3 We may investigate suspected misuse and take proportionate steps to protect the Services, customers and third parties.
9. Subscriptions and Fees
9.1 The available Subscription plans, included features, Subscription Period and Fees are displayed on the Website or set out in an applicable order form.
9.2 Fees are payable in advance unless we agree otherwise in writing.
9.3 Unless stated otherwise, all Fees are displayed in Australian dollars. Savra is not currently registered for GST and does not charge GST on the Fees. If Savra becomes registered or required to be registered for GST, Savra may add GST to taxable supplies from the date GST becomes applicable, subject to applicable law and reasonable prior notice.
9.4 Payments are processed securely by Stripe or another payment provider identified at checkout. Savra does not directly store complete payment card details. By providing a payment method, you:
(a) authorise Savra and Stripe to charge that payment method for Fees that become due, including recurring Subscription Fees disclosed before purchase;
(b) acknowledge that Stripe processes payment information under its own terms and privacy policy; and
(c) confirm that you are authorised to use the nominated payment method.
Stripe processes payments on Savra's behalf and is not the supplier of the Services unless checkout materials expressly state otherwise.
9.5 You are responsible for ensuring that your billing and payment information remains complete, accurate and current.
9.6 If a payment is declined, reversed or overdue, Savra may:
(a) request an alternative payment method;
(b) retry the charge where permitted by law and the payment authorisation;
(c) suspend access after giving reasonable notice; and
(d) recover reasonable external costs incurred in collecting an undisputed overdue amount.
9.7 Where a Subscription renews automatically, we will disclose the renewal frequency and recurring Fees before purchase.
9.8 You may prevent renewal by cancelling through the available Account controls or by contacting us before the renewal date. Cancellation takes effect at the end of the current paid Subscription Period unless these Terms state otherwise.
9.9 We may change Fees for a future Subscription Period by giving reasonable prior notice. A price change will not apply retrospectively to a current prepaid Subscription Period.
9.10 If you do not accept a price change, you may cancel before the next renewal date.
10. Free Trials and Beta Features
10.1 We may provide trial, preview, early-access or beta Services. This clause does not apply to a Free plan offered as an ongoing Subscription tier, which continues until cancelled or terminated in accordance with these Terms.
10.2 Unless otherwise stated, those Services:
(a) may have limited functionality or support;
(b) may be modified or withdrawn on reasonable notice;
(c) may contain errors; and
(d) must not be used for production-critical activities.
10.3 Clauses excluding rights or remedies do not apply to the extent prohibited by law.
11. Cancellation and Refunds
11.1 You may cancel a Subscription in accordance with clause 9.8.
11.2 Except where required by law, cancellation does not entitle you to a refund for the unused part of a Subscription Period.
11.3 If we permanently discontinue a paid Service during a prepaid Subscription Period for reasons unrelated to your breach, we will provide:
(a) continued access until the end of the current Subscription Period;
(b) a substantially equivalent replacement service; or
(c) a pro-rata refund or credit for the unused part of the affected prepaid Subscription,
as reasonably appropriate in the circumstances.
11.4 Our refund policy does not exclude, restrict or modify rights or remedies available under the Australian Consumer Law or another law that cannot be excluded.
12. Third-party Services
12.1 Your use of a Third-Party Service may be subject to separate terms and privacy policies between you and the relevant provider.
12.2 Third-Party Services are not controlled by Savra. We do not warrant their continued availability, functionality, security or compatibility.
12.3 We may suspend or remove an integration if:
(a) the provider changes or withdraws access;
(b) the integration creates a legal, security or technical risk;
(c) continued provision is outside our reasonable control; or
(d) maintaining it is no longer commercially reasonable.
12.4 To the extent permitted by law, Savra is not responsible for loss caused solely by the acts, omissions, outages or changes of a Third-Party Service that are outside our reasonable control.
12.5 Nothing in this clause limits liability arising from Savra's failure to exercise reasonable care in selecting, configuring or managing a service provider acting on Savra's behalf.
13. Intellectual Property
13.1 Savra and its licensors retain all rights, title and interest in the Website, Services, software, documentation, branding and related intellectual property.
13.2 Subject to your compliance with these Terms and payment of applicable Fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right during the Subscription Period to access and use the Services for your internal business purposes.
13.3 No intellectual property right is transferred except as expressly stated in these Terms.
13.4 You retain your rights in Customer Data.
13.5 Subject to any third-party rights and applicable law, you may use AI Output generated specifically for you for your internal business purposes.
13.6 Due to the nature of artificial intelligence, AI Output may not be unique and another user may receive similar output. We do not warrant that AI Output is capable of intellectual property ownership or registration.
13.7 If you provide feedback or suggestions concerning the Services, you grant us a perpetual, worldwide, royalty-free right to use that feedback without identifying you or disclosing your confidential information.
13.8 You must not remove proprietary notices displayed in the Website, Services or documentation.
14. Confidentiality
14.1 Each party must keep confidential information received from the other party secure and must not use or disclose it except:
(a) to perform or exercise rights under these Terms;
(b) to personnel, professional advisers and service providers who need the information and are subject to confidentiality obligations;
(c) with the other party's consent; or
(d) as required by law.
14.2 Confidential information does not include information that:
(a) is or becomes public other than through a breach of confidence;
(b) was lawfully known without restriction before disclosure;
(c) is independently developed without use of the confidential information; or
(d) is lawfully received from a third party without an obligation of confidence.
14.3 Customer Data is your confidential information, except to the extent it is public or falls within clause 14.2.
14.4 These confidentiality obligations continue for five years after termination. Obligations concerning trade secrets continue for as long as the information remains a trade secret.
15. Availability, Support and Changes
15.1 We aim to provide reliable Services but do not guarantee uninterrupted or error-free availability unless a separate service level agreement applies.
15.2 We may perform maintenance and will use reasonable efforts to minimise avoidable disruption.
15.3 Emergency maintenance may occur without prior notice where needed to address security, legal or technical risks.
15.4 We may update these Terms where reasonably required by changes to:
(a) the Services;
(b) law or regulatory guidance;
(c) security requirements;
(d) Third-Party Services; or
(e) our business operations.
15.5 We will give reasonable advance notice of a material change that is likely to adversely affect you. Changes required urgently by law or security needs may take effect on shorter notice.
15.6 If a material change substantially disadvantages you during a paid Subscription Period, you may cancel the affected Subscription by notifying us within 30 days after receiving notice. We will provide a pro-rata refund for the unused prepaid portion of that Subscription unless the change was required by law or resulted from your breach.
16. Warranties and Australian Consumer Law
16.1 Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or liability that cannot lawfully be excluded, restricted or modified, including under the Australian Consumer Law.
16.2 Subject to clause 16.1, the Services are supplied on an "as available" basis. To the extent permitted by law, Savra does not warrant that:
(a) the Services will always be available, uninterrupted, secure or error-free;
(b) all defects will be corrected;
(c) AI Output will be accurate, complete, current, unique or suitable for a particular purpose;
(d) the Services will meet every Customer requirement; or
(e) every Third-Party Service will remain available or compatible with the Services.
16.3 Any description of future functionality, product plans or anticipated features is indicative only and is not a binding promise unless expressly included in an order form signed by Savra.
16.4 If a statutory guarantee applies and Savra may lawfully limit the remedy for its breach, Savra's liability is limited, at Savra's option, to:
(a) supplying the affected Services again; or
(b) paying the reasonable cost of having the affected Services supplied again.
16.5 Clause 16.4 does not apply where it would not be fair or reasonable under the Australian Consumer Law.
17. Limitation of Liability
17.1 Nothing in these Terms limits or excludes liability:
(a) that cannot lawfully be limited or excluded;
(b) for fraud or fraudulent misrepresentation;
(c) for death or personal injury caused by negligence; or
(d) for wilful misconduct.
17.2 Subject to clauses 16.1 and 17.1, neither party is liable to the other for any indirect, incidental, special or consequential loss arising out of or in connection with these Terms or the Services.
17.3 Subject to clauses 16.1 and 17.1, neither party is liable for loss of profit, revenue, anticipated savings, business opportunity, goodwill or reputation, except to the extent that the loss constitutes a direct amount payable to a third party under an indemnity in these Terms.
17.4 Subject to clauses 16.1 and 17.1, Savra's total aggregate liability arising out of or in connection with these Terms and the Services is limited to the greater of:
(a) the Fees paid or payable by you to Savra during the 12 months immediately preceding the event giving rise to the claim; and
(b) AUD 1,000.
17.5 The liability cap in clause 17.4 applies collectively to all claims arising from related events and is not renewed for each claim.
17.6 Each party must take reasonable steps to mitigate any loss arising under or in connection with these Terms.
17.7 A party's liability is reduced proportionately to the extent that the other party's act, omission, negligence or breach contributed to the relevant loss.
18. Indemnities
18.1 You indemnify Savra against third-party claims, liabilities, damages and reasonable external legal costs to the extent caused by:
(a) Customer Data infringing the third party's intellectual property, privacy or other legal rights;
(b) your unlawful or unauthorised use of the Services;
(c) your material breach of clause 5 or clause 8; or
(d) fraud or wilful misconduct by you or an Authorised User.
18.2 Savra indemnifies you against a third-party claim that your authorised use of the Services infringes that third party's Australian intellectual property rights.
18.3 Savra has no obligation under clause 18.2 to the extent a claim arises from:
(a) Customer Data;
(b) your modification of the Services;
(c) use of the Services contrary to these Terms or Savra's written instructions;
(d) combination of the Services with an item not supplied or approved by Savra, where the claim would not otherwise have arisen; or
(e) continued use after Savra has notified you of the alleged infringement and provided a reasonable alternative.
18.4 If a claim under clause 18.2 occurs or is reasonably likely to occur, Savra may, at its expense:
(a) obtain the right for you to continue using the affected Services;
(b) modify or replace the affected Services so that they are no longer infringing without materially reducing their core functionality; or
(c) terminate the affected Services and provide a pro-rata refund of prepaid Fees for the unused Subscription Period.
18.5 An indemnified party must:
(a) notify the indemnifying party promptly after becoming aware of the claim;
(b) not admit liability or settle the claim without the indemnifying party's prior written consent, which must not be unreasonably withheld;
(c) give the indemnifying party reasonable control of the defence and settlement, provided no settlement may impose liability, wrongdoing or a non-monetary obligation on the indemnified party without its consent; and
(d) provide reasonable assistance at the indemnifying party's cost.
18.6 The indemnities in this clause are subject to the liability limitations in clause 17, except for liability arising from fraud or wilful misconduct.
19. Suspension
19.1 Savra may suspend access to all or part of the Services where reasonably necessary to:
(a) respond to an actual or suspected security incident;
(b) prevent unlawful use or material harm;
(c) address a material breach of these Terms;
(d) comply with law or a binding direction from a competent authority;
(e) prevent material disruption to the Services or other customers; or
(f) respond to overdue Fees after reasonable notice has been given.
19.2 Where reasonably practicable, Savra will give you prior notice of a suspension and an opportunity to remedy the relevant issue.
19.3 Savra may suspend access immediately where delay would create a material security, legal or operational risk.
19.4 Savra will limit a suspension to the extent and duration reasonably necessary to address the relevant issue.
19.5 Savra will restore access after the reason for suspension has been resolved, subject to any lawful termination right.
20. Termination
20.1 Either party may terminate these Terms immediately by written notice if the other party:
(a) commits a material breach and does not remedy that breach within 14 days after receiving written notice requiring it to do so;
(b) commits a material breach that cannot reasonably be remedied;
(c) becomes insolvent, enters liquidation or administration, or ceases carrying on business; or
(d) engages in fraud or wilful misconduct in connection with these Terms.
20.2 You may terminate a Subscription by cancelling renewal in accordance with clause 9.8.
20.3 Savra may terminate a free, trial or beta Service by giving reasonable notice, unless immediate termination is reasonably necessary for legal or security reasons.
20.4 Savra may terminate an affected Service if continuing it becomes unlawful or permanently impossible because of circumstances outside Savra's reasonable control. Where this affects a prepaid Subscription, Savra will provide a pro-rata refund for the unused Subscription Period unless the circumstances were caused by your breach.
20.5 Termination does not affect rights or liabilities accrued before termination.
20.6 Clauses concerning Customer Data, confidentiality, intellectual property, payment, liability, indemnities, dispute resolution and any provision intended by its nature to survive continue after termination.
21. Data Export and Deletion
21.1 During an active Subscription, you may export Customer Data using available export functions.
21.2 Following termination or expiry, Savra will make Customer Data available for export for 30 days where reasonably practicable, unless:
(a) law prohibits Savra from doing so;
(b) the Account was used for unlawful activity;
(c) disclosure would create a material security risk; or
(d) the relevant Customer Data is no longer held by Savra.
21.3 After the export period, Savra may delete or de-identify Customer Data in accordance with its retention practices and legal obligations.
21.4 Customer Data may remain in secure backups until removed through ordinary backup cycles, provided it remains protected and is not used for any other purpose.
21.5 You are responsible for exporting Customer Data before the applicable deletion period expires.
22. Privacy
22.1 Savra will handle personal information in accordance with its Privacy Policy and applicable privacy law.
22.2 The Privacy Policy explains:
(a) the kinds of personal information Savra collects and holds;
(b) how Savra collects, holds, uses and discloses personal information;
(c) the use of Third-Party Services and overseas recipients;
(d) how individuals may request access to or correction of personal information;
(e) how privacy complaints may be made and handled; and
(f) how Savra uses artificial intelligence and automated processing where required by law.
22.3 You are responsible for providing any notices and obtaining any consents required before making personal information relating to your customers, employees, contractors or other contacts available through the Services.
22.4 Where the Services are used to process personal information on your behalf, you remain responsible for determining whether your use of the Services complies with applicable privacy law.
23. Changes to These Terms
23.1 Savra may amend these Terms where reasonably required because of changes to:
(a) the Services or Subscription plans;
(b) applicable law or regulatory requirements;
(c) security or technical requirements;
(d) Third-Party Services; or
(e) Savra's reasonable business practices.
23.2 Savra will give reasonable advance notice of a material change likely to adversely affect you.
23.3 A change required urgently by law, security needs or circumstances outside Savra's reasonable control may take effect on shorter notice.
23.4 If a material change substantially disadvantages you during a prepaid Subscription Period, you may terminate the affected Subscription by giving notice within 30 days after receiving notice of the change. Savra will provide a pro-rata refund for the unused prepaid portion unless the change was required by law or arose from your breach.
23.5 Your continued use of the Services after a change takes effect constitutes acceptance of the amended Terms. This does not affect any right that cannot lawfully be excluded.
24. Dispute Resolution
24.1 A party claiming that a dispute has arisen must give the other party written notice describing:
(a) the nature of the dispute;
(b) the outcome sought; and
(c) the action proposed to resolve it.
24.2 Within 14 days after receiving the notice, the parties must use reasonable efforts to resolve the dispute through good-faith negotiation.
24.3 If the dispute is not resolved within 28 days after the notice, either party may refer it to mediation administered by the Resolution Institute under its applicable mediation rules.
24.4 Unless the parties agree otherwise:
(a) the mediation will take place in Brisbane, Queensland;
(b) the parties will share the mediator's fees and venue costs equally; and
(c) each party will bear its own other costs.
24.5 Neither party may commence court proceedings concerning the dispute until it has complied with this clause, except:
(a) to seek urgent interlocutory or injunctive relief;
(b) to recover an undisputed debt; or
(c) where a limitation period is about to expire.
24.6 Communications made as part of negotiation or mediation are confidential and, where applicable, without prejudice.
24.7 If the dispute is not resolved within 60 days after mediation starts, either party may terminate the mediation and commence proceedings.
25. Notices
25.1 A notice under these Terms must be in writing.
25.2 Savra may send a notice to the email address associated with your Account or display an operational notice within the Services.
25.3 You may send notices to Savra by email to support@savra-technologies.com. A notice concerning privacy must be clearly marked "Privacy Enquiry" in the subject line.
25.4 A notice sent by email is taken to be received on the next Business Day after it is sent, unless the sender receives an automated failure notification.
25.5 You must keep your Account contact information current.
26. Force Majeure
26.1 Neither party is liable for delay or failure to perform an obligation, other than an obligation to pay an amount already due, where the delay or failure results from an event beyond that party's reasonable control.
26.2 The affected party must:
(a) notify the other party as soon as reasonably practicable;
(b) take reasonable steps to minimise the impact; and
(c) resume performance as soon as reasonably practicable.
26.3 If the event prevents a material part of the paid Services for more than 30 consecutive days, either party may terminate the affected Services by written notice. Savra will provide a pro-rata refund for the unused prepaid Subscription Period.
27. Assignment
27.1 You must not assign or transfer these Terms without Savra's prior written consent, which must not be unreasonably withheld.
27.2 Savra may assign these Terms as part of a corporate restructure, merger, financing, sale of business or transfer of substantially all relevant assets, provided the assignee agrees to perform Savra's obligations under these Terms.
27.3 Any other assignment by Savra requires reasonable prior notice.
28. General
28.1 These Terms, the Privacy Policy and any applicable order form or additional terms constitute the entire agreement concerning the Services.
28.2 If there is an inconsistency, the following order of priority applies:
(a) a signed order form or software licensing agreement;
(b) applicable account-specific terms;
(c) these Terms; and
(d) the Privacy Policy.
28.3 A failure or delay in exercising a right does not waive that right.
28.4 If a provision is invalid or unenforceable, it is severed to the minimum extent necessary and the remaining provisions continue in effect.
